Terms & Conditions

Please read these terms carefully before using the Winngur platform. By accessing or using our services, you agree to be bound by these terms.

Important: These Terms & Conditions constitute a legally binding agreement between you and Winngur Inc. By creating an account or using the Platform, you confirm that you are 18 years of age or older and have read and agreed to these terms.

Agreement to Terms

These Terms & Conditions ("Terms") govern your access to and use of the Winngur platform, including our website, mobile application, and all related services (collectively, the "Platform"), operated by Winngur Inc. ("Winngur", "we", "our", or "us"), a company incorporated in Ontario, Canada.

By registering an account, accessing the Platform, or using any Winngur service, you ("User", "you") agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Platform.

Use of the Platform

Winngur is a technology platform that connects customers ("Customers") with independent service providers ("Professionals") for home, repair, and auto services. Winngur is not itself a service provider and does not employ Professionals. Winngur provides tools for discovering, booking, paying, and reviewing independent Professionals.

Eligibility

To use the Platform, you must:

  • Be at least 18 years of age
  • Be a resident of Canada
  • Have the legal capacity to enter into a binding contract
  • Not have been previously suspended or banned from the Platform

License to Use

Subject to these Terms, Winngur grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose. You may not reproduce, distribute, modify, create derivative works of, or exploit any part of the Platform without our prior written consent.

User Accounts

To access most features of the Platform, you must create a Winngur account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password confidential and not share it with any third party
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activity that occurs under your account

Winngur reserves the right to suspend or terminate any account that we reasonably believe contains inaccurate information, violates these Terms, or poses a risk to the safety of the Platform or its users.

You may have only one active account at a time. Creating multiple accounts to circumvent a suspension is strictly prohibited.

Bookings & Services

Booking Process

Customers may submit a booking request through the Platform. A booking is confirmed only when a Professional accepts the request and payment is authorized. Winngur will send a confirmation notification upon acceptance.

Service Agreement

When a booking is confirmed, a direct service agreement is formed between the Customer and the Professional. Winngur is not a party to this agreement and is not responsible for the performance, quality, or outcome of any service. Any disputes regarding the service must first be addressed between the Customer and the Professional.

Cancellations & Rescheduling

  • Customers may cancel or reschedule a booking through the Platform up to 24 hours before the scheduled service time without penalty.
  • Cancellations made within 24 hours of the service time may incur a cancellation fee of up to $25, as set out in the booking confirmation.
  • If a Professional cancels a confirmed booking, the Customer will receive a full refund within 5–7 business days and will be offered priority rebooking.

No-Shows

If a Customer is not present at the service address at the agreed time, the Professional may mark the booking as a no-show. In such cases, a no-show fee may apply. If a Professional fails to appear without prior notice, the Customer will receive a full refund.

Payments & Fees

Escrow Payment System

Winngur uses an escrow-based payment system. When a Customer books a service, payment is authorized and held securely. Funds are released to the Professional only after the Customer confirms that the job has been completed satisfactorily, or after 48 hours if no dispute is raised.

Pricing

Service prices displayed on the Platform are starting rates and may vary based on the scope of work, location, and Professional. Any additional charges must be agreed upon between the Customer and Professional before additional work begins.

Platform Fees

Winngur charges a service fee to Professionals as a percentage of each completed booking. This fee is deducted before funds are released. Customers are not charged any platform or booking fees beyond the displayed service price.

Refunds

Refunds may be issued in the following circumstances:

  • Professional cancellation of a confirmed booking
  • Professional no-show (confirmed by evidence)
  • Unsuccessful or incomplete service confirmed through our dispute resolution process
  • Duplicate or erroneous charges

Refund requests must be submitted within 7 days of the service date through the Platform's dispute resolution tool. Winngur will review disputes and make a final decision within 10 business days.

Taxes

Applicable taxes (HST/GST) may be added to service fees where required by law. Professionals are responsible for reporting and remitting taxes on income earned through the Platform.

Professional Standards

Professionals who join the Winngur Platform agree to the following standards:

Verification Requirements

  • Provide accurate personal information and a valid government-issued ID
  • Consent to and pass a background and criminal record check
  • Hold all required licenses, certifications, or trade qualifications applicable to the services offered
  • Maintain valid liability insurance (minimum $2M coverage recommended)

Service Standards

  • Arrive on time and communicate promptly with Customers
  • Perform all work in a professional, safe, and workmanlike manner
  • Respect Customers' property and privacy
  • Not solicit Customers for off-platform bookings to circumvent Winngur fees
  • Comply with all applicable laws, regulations, and safety standards

Independent Contractor Status

Professionals are independent contractors, not employees, agents, or partners of Winngur. Winngur does not control the means or methods by which Professionals perform services. Professionals are solely responsible for their own tools, equipment, workers' compensation, and tax obligations.

Reviews & Ratings

After a completed booking, both Customers and Professionals may submit a review and rating. By submitting a review, you grant Winngur a non-exclusive, royalty-free, worldwide license to display, reproduce, and use the review content on the Platform and in our marketing materials.

You agree that your reviews will:

  • Be truthful and based on your genuine experience
  • Not contain defamatory, discriminatory, or harassing content
  • Not contain personal information about other users
  • Not be submitted in exchange for payment, discounts, or other incentives

Winngur reserves the right to remove reviews that violate these guidelines, but is not obligated to do so. Winngur does not endorse any opinion expressed in user reviews.

Prohibited Conduct

You agree not to engage in any of the following activities:

  • Violating any applicable law, regulation, or third-party rights
  • Providing false, misleading, or fraudulent information
  • Attempting to circumvent or bypass our verification or safety systems
  • Soliciting or conducting transactions outside of the Platform to avoid fees
  • Harassing, threatening, or discriminating against other users or Professionals
  • Using the Platform to facilitate any illegal activity, including unlicensed trade work
  • Scraping, crawling, or extracting data from the Platform without authorization
  • Uploading malware, viruses, or any malicious code
  • Creating fake accounts, reviews, or profiles
  • Impersonating any person or entity
  • Interfering with the proper functioning of the Platform

Violation of these prohibitions may result in immediate account suspension, permanent banning, and/or legal action.

Intellectual Property

All content on the Winngur Platform — including the Winngur name and logo, website design, graphics, text, software, and functionality — is owned by or licensed to Winngur Inc. and is protected by Canadian and international intellectual property laws.

You may not reproduce, distribute, modify, publicly display, or create derivative works from any Platform content without our prior written permission.

By submitting content to the Platform (including reviews, profile information, or communications), you grant Winngur a non-exclusive, royalty-free, perpetual, worldwide license to use, display, and distribute that content in connection with the Platform's operations.

Disclaimers

The Platform and all content, services, and features are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Winngur does not warrant that:

  • The Platform will be uninterrupted, error-free, or secure
  • Any defects will be corrected
  • The Platform is free of viruses or other harmful components
  • Any Professional will meet your specific expectations or requirements

Winngur is a platform intermediary and does not guarantee the quality, safety, legality, or appropriateness of any service performed by a Professional. Customers engage Professionals at their own risk and are encouraged to review Professional profiles, ratings, and reviews before booking.

Limitation of Liability

To the maximum extent permitted by applicable law, Winngur Inc. and its officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, loss of data, property damage, or personal injury, arising out of or related to your use of the Platform or any service booked through it.

In jurisdictions that do not allow the exclusion or limitation of certain damages, our liability shall be limited to the maximum extent permitted by law.

In no event shall Winngur's total aggregate liability to you exceed the greater of:

  • The total fees paid by you to Winngur in the 12 months preceding the claim, or
  • $100 CAD

These limitations apply regardless of the theory of liability (contract, tort, negligence, or otherwise) and even if Winngur has been advised of the possibility of such damages.

Indemnification

You agree to defend, indemnify, and hold harmless Winngur Inc. and its officers, directors, employees, agents, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of or access to the Platform
  • Your violation of these Terms
  • Your violation of any applicable law or third-party right
  • Any service you perform or receive through the Platform
  • Any content you submit to the Platform

Termination

Termination by You

You may close your account at any time by contacting us at [email protected]. Account closure will not affect any obligations arising from bookings made prior to closure.

Termination by Winngur

Winngur may suspend or permanently terminate your account at any time, with or without notice, if we determine in our sole discretion that you have violated these Terms, engaged in fraudulent activity, or posed a risk to the safety of the Platform or other users.

Upon termination, your right to use the Platform ceases immediately. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) shall continue to apply.

Governing Law & Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform, the parties agree to first attempt to resolve the matter informally by contacting Winngur at [email protected].

If informal resolution is not achieved within 30 days, either party may pursue resolution through binding arbitration administered under the Arbitration Act, 1991 (Ontario), conducted in the City of Toronto. Each party will bear its own costs unless the arbitrator orders otherwise.

Class Action Waiver

To the extent permitted by law, you agree to resolve disputes with Winngur on an individual basis only, and not as part of any class, collective, or representative action.

Jurisdiction

For matters not subject to arbitration, you consent to the exclusive jurisdiction of the courts of Ontario, Canada.

Changes to Terms

Winngur reserves the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on this page with a revised "Last Updated" date
  • Sending an email notification to your registered address
  • Displaying a prominent banner on the Platform

Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the changes, you must stop using the Platform and may close your account.
