Important: This Service Provider Agreement is a legally binding contract between you (as an independent service professional) and Winngur Inc. By submitting a provider application or accepting bookings through the platform, you agree to all terms set out in this agreement.
Agreement Overview
This Service Provider Agreement ("Agreement") governs the relationship between Winngur Inc. ("Winngur," "we," "us") and you ("Service Provider," "Professional," "you") as an independent contractor offering home, repair, or auto services through the Winngur platform.
This Agreement supplements our Terms & Conditions and Privacy Policy. By submitting a provider application or accepting a booking through the platform, you agree to be bound by this Agreement in its entirety.
Winngur reserves the right to update this Agreement at any time. You will be notified of material changes via email or in-app notification. Continued use of the platform following notification constitutes acceptance of the updated terms.
Eligibility Requirements
To join Winngur as a Service Provider, you must:
- Be at least 18 years of age
- Be legally authorized to work in Canada
- Hold all required trade licenses, certifications, or qualifications applicable to the services you offer in your province
- Have a valid government-issued photo ID
- Be willing to undergo a background and criminal record check
- Maintain a valid Canadian bank account for payment deposits
- Not have been previously suspended or permanently banned from the Winngur platform
Application & Verification
Application Process
To become a verified Service Provider on Winngur, you must complete our three-step application:
- Step 1 – Personal Information: Full name, contact details, city, and gender (optional)
- Step 2 – Skills & Availability: Services offered, weekly availability, and experience
- Step 3 – Verification: Government-issued ID type and number, consent to background check, agreement to terms
Background Check
All Service Providers must consent to and pass a background and criminal record verification conducted by Winngur's accredited third-party partner. Results are reviewed by our trust & safety team and are kept confidential.
Review Period
Applications are reviewed within 2–3 business weeks. Winngur reserves the right to approve or reject any application without stating a reason, subject to applicable human rights legislation.
Independent Contractor Status
You acknowledge and agree that you are engaged by Winngur as an independent contractor and not as an employee, agent, joint venturer, or partner of Winngur. Nothing in this Agreement creates an employment relationship.
As an independent contractor, you are solely responsible for:
- Your own tools, equipment, and materials required to perform services
- Workers' compensation coverage for yourself and any assistants
- Reporting and remitting all applicable income taxes, HST/GST, and other government remittances
- Obtaining and maintaining your own business license where required
- Setting your own working hours, subject to the bookings you accept
Winngur does not control the means, methods, or manner in which you perform your services.
Service Standards
As a Winngur Service Provider, you commit to delivering all services to the following standards:
Professionalism
- Arrive on time for all confirmed bookings. Notify the Customer as early as possible if you are delayed
- Communicate professionally and courteously with Customers at all times
- Present yourself in a clean, professional manner appropriate to the trade
- Respect Customers' property, privacy, and personal space
Quality of Work
- Perform all work in a safe, workmanlike, and professional manner
- Use appropriate tools, materials, and methods for the service requested
- Inform the Customer of any issues discovered during the service before proceeding with additional work
- Obtain Customer approval for any additional charges before incurring them
- Leave the Customer's property clean and tidy upon completion
Legal Compliance
- Comply with all applicable federal, provincial, and municipal laws, codes, and regulations
- Hold and maintain all required trade licenses and permits for your province
- Obtain all required permits for work requiring municipal approval
Platform Fees & Payments
Service Fee
Winngur charges Service Providers a platform service fee as a percentage of each completed booking. The applicable percentage is communicated during onboarding and may be updated with 30 days' written notice. The service fee is automatically deducted before funds are released to your account.
Payment Schedule
Payments for completed bookings are released to your registered bank account within 2–5 business days after the Customer confirms service completion (or after 48 hours if no dispute is raised). Winngur uses a secure escrow system to hold funds until release.
Taxes
You are responsible for all taxes applicable to income earned through the platform, including income tax and HST/GST where applicable. Winngur will provide a summary of your earnings upon request to assist with tax filings.
Disputes & Chargebacks
If a Customer initiates a chargeback or refund dispute, Winngur may withhold payment pending resolution. If the dispute is resolved in the Customer's favour, the disputed amount will be deducted from future earnings.
Insurance Requirements
All Service Providers are strongly recommended to maintain the following insurance coverage while offering services through Winngur:
- Commercial General Liability Insurance: Minimum $2,000,000 per occurrence
- Workers' Compensation / WSIB: Where required by your province
- Professional Liability / Errors & Omissions: Recommended for licensed trades
- Commercial Auto Insurance: If you use a vehicle in the performance of services
Winngur may require proof of insurance before activating your provider account or at any time during your engagement. Failure to maintain required insurance may result in account suspension.
Bookings & Cancellations
Accepting Bookings
You are free to accept or decline booking requests at your discretion. However, a pattern of declining accepted bookings may negatively impact your platform rating and visibility.
Cancelling a Confirmed Booking
If you must cancel a confirmed booking, you must notify the Customer and Winngur as early as possible through the platform. Late or repeated cancellations will negatively impact your rating and may result in platform penalties.
Cancellations made within 24 hours of the scheduled service time without a valid reason may result in a financial penalty equivalent to the platform fee for that booking.
Completing Bookings
Upon completing a service, mark the booking as "Completed" in the platform. The Customer will then be prompted to confirm and release payment. If there is any dispute, our support team will assist in resolution.
Prohibited Conduct
As a Service Provider, you must not:
- Solicit Customers for off-platform bookings to circumvent Winngur's fees
- Misrepresent your qualifications, experience, or identity
- Perform services that you are not licensed or qualified to perform
- Engage in any discriminatory conduct based on race, gender, religion, sexual orientation, disability, or any other protected ground
- Harass, threaten, or demean Customers or Winngur staff
- Damage or steal Customer property
- Perform substandard or unsafe work knowingly
- Use the platform for any illegal purpose
- Create multiple provider accounts
- Submit false invoices or fraudulent service records
Violations may result in immediate account suspension, permanent banning, and/or legal action including civil or criminal proceedings.
Ratings & Reviews
Your performance on the Winngur platform is reflected in your rating, which is calculated from Customer reviews. A strong rating increases your visibility and booking volume.
You agree not to:
- Incentivize Customers to leave positive reviews in exchange for discounts or other benefits
- Threaten or pressure Customers regarding their reviews
- Attempt to have legitimate negative reviews removed
Winngur monitors ratings for unusual patterns and will investigate suspected manipulation. Service Providers with sustained ratings below our minimum threshold may be suspended from the platform pending a performance review.
Account Suspension & Termination
Suspension
Winngur may suspend your provider account temporarily pending investigation of any complaint, dispute, or suspected violation of this Agreement. During suspension, you will not receive new booking requests and may have payments withheld.
Termination by Winngur
Winngur may permanently terminate your provider account at any time, with or without notice, for:
- Serious or repeated violations of this Agreement or our Terms & Conditions
- Criminal convictions that affect your ability to safely perform services
- Sustained below-minimum ratings after a remediation period
- Fraudulent activity or misrepresentation
Termination by You
You may close your provider account at any time by contacting [email protected]. You must fulfill all accepted and in-progress bookings before your account can be closed.
Intellectual Property
All platform content, branding, tools, and technology remain the exclusive property of Winngur Inc. You are granted a limited, non-exclusive license to use the Winngur platform solely for the purpose of offering and fulfilling services.
By submitting a profile, photos, or other content to the platform, you grant Winngur a non-exclusive, royalty-free, worldwide license to use, display, and promote that content in connection with the platform's operations and marketing activities.
Limitation of Liability
To the maximum extent permitted by law, Winngur's total aggregate liability to you as a Service Provider shall not exceed the total platform fees paid by Winngur to you in the 3 months preceding the event giving rise to the claim.
Winngur is not liable for loss of bookings, loss of earnings, damage to reputation, or any indirect, incidental, or consequential losses arising from your use of the platform or any service you perform through it.
You agree to indemnify and hold Winngur harmless from any claims, damages, or costs arising from your performance of services, including property damage, personal injury, or professional errors.
Governing Law
This Service Provider Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada. Any disputes arising under this Agreement that cannot be resolved informally shall be subject to binding arbitration in Toronto, Ontario, under the Arbitration Act, 1991 (Ontario).
